Webuild International Infrastructures N.V. sells its entire capital of Fisia Babcock Environment GmbH for roughly 140 million euros

March 19, 2014 - Salini Impregilo reports that Impregilo International Infrastructures N.V. , a Dutch company wholly owned by Salini Impregilo S.p.A., has today signed a contract for the sale of its entire share of Fisia Babcock Environment GmbH (" FISIA Babcock ") capital to the Japanese owned Nippon Steel & Sumikin Engineering Co., Ltd.

Fisia Babcock is a German company operating in the gas treatment and "waste to energy" field. The selling price is 139.3 million Euros. 

The transaction closure will take place when authorization is granted by the Antitrust authorities in Germany.

The proceeds, upon closure of the deal, will be partially used for offsetting the Group’s debt-credit with its subsidiary which presently amounts to 74.089 million Euros. 

The sales contract foresees the issuance of the usual contractual guarantees from the seller to the buyer. Salini Impregilo S.p.A. guarantees the obligations taken on by Impregilo International Infrastructures in the sales contract. 

The operation is part of the process of the Group's focus on its core business in Construction work and disinvestment of non-core activities
